1. Who these terms are between
Prospex is operated by Sidorenko Consulting, Semion Sidorenko, Chemin du Frêne 7, 1004 Lausanne, Switzerland ("we", "us"). These terms govern your use of the Prospex service at prospex.ch. You accept them by creating an account.
Prospex is offered to businesses and professionals for use in their professional activity. It is not a consumer service, and consumer-protection rules that depend on the customer being a consumer do not apply.
2. Accounts
An account is personal to one named individual. Do not share credentials or let others use your account. Give us a working email address and keep it current — it is how we reach you about the service and about billing. You are responsible for what happens under your account, and you must tell us promptly at [email protected] if you think it has been compromised.
3. Subscription and price
Prospex costs CHF 99 per month. The subscription is rolling monthly and renews automatically at the end of each paid period until you cancel.
The first month is CHF 9 as an introductory offer. After that first period the subscription renews at CHF 99 per month unless you cancel before it renews. The introductory month is available once per customer: if you cancel and subscribe again later, the subscription starts at CHF 99 per month.
You may cancel at any time. Cancellation takes effect at the end of the period you have already paid for; you keep access until then. We do not refund part-months or unused time.
Prices are in Swiss francs and exclusive of any taxes that may apply. Payment is processed by Stripe; we never see or store your card details. If a payment fails we may suspend access until it is settled, and may end the subscription if it stays unpaid.
We may change the price with at least 30 days' notice by email. A change takes effect at your next renewal, and you can cancel before then if you do not want it.
4. Acceptable use
You agree not to:
- resell, republish, sublicense or otherwise redistribute the data Prospex provides, in whole or in part, whether or not for payment;
- export the service's contents in bulk, or scrape, crawl or automate access to it beyond the features we provide;
- share your access with people outside your organisation, or use one account to serve several users;
- use the data for unlawful direct marketing, or in any way that breaches the rules on unsolicited commercial communication;
- attempt to circumvent access controls, rate limits or security measures.
Outreach compliance is yours. When you contact a company or an individual you found through Prospex, you act as the controller of that contact. You are responsible for complying with the FADP, the GDPR where it applies, and Swiss unfair-competition law — including giving the required information notice, honouring objections and opt-outs, and respecting the rules on cold contact in each recipient's jurisdiction.
5. What the data is, and is not
Prospex derives its signals from publicly available sources and processes them with automated methods, including large language models. The result is provided "as is". It may be incomplete, delayed, out of date, mistakenly attributed, or simply wrong.
We give no warranty that any signal is accurate, current or fit for a particular purpose. You must not use Prospex as the sole basis for a business decision, and you should verify anything that matters against the original source, which we link wherever we can.
6. Availability
We make reasonable efforts to keep Prospex available, but we offer no service level and no uptime guarantee. The service may be interrupted for maintenance, for upgrades, or by problems at our providers. We may change or discontinue features; if we remove something significant, we will tell subscribers by email.
7. Liability
Our total liability to you, on any basis, is limited to the fees you paid in the twelve months before the event giving rise to the claim. We are not liable for indirect or consequential loss, lost profit, lost business, lost data or missed opportunity.
This limitation does not apply to liability for intent or gross negligence, or to any liability that cannot be excluded under Swiss law (art. 100 of the Swiss Code of Obligations).
8. Intellectual property
The Prospex platform, its software, its interface and the signals it derives remain ours. Your subscription is a non-exclusive, non-transferable right to use the service while it is paid for; it transfers no ownership.
What you put in stays yours: your description of what you sell, your saved searches, your feedback and your notes. You grant us the right to use it to operate and improve the service. We do not disclose your inputs to other customers.
9. Termination
You can cancel at any time, with effect at the end of the paid period. We may suspend or terminate an account that breaches these terms, that does not pay, or that is being used in a way that harms the service or other users; where the breach can be fixed, we will normally ask first. On termination your access ends and section 7, section 8 and section 11 survive.
10. Changes to these terms
We may update these terms. We will give subscribers at least 30 days' notice by email of any material change, and it takes effect at the next renewal. Continuing to use Prospex after that means you accept the new version. If a provision turns out to be invalid, the rest stays in force and the invalid part is replaced by the valid provision closest to its intent.
11. Governing law and jurisdiction
These terms are governed by Swiss law, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. The exclusive place of jurisdiction is Lausanne, Switzerland.
